General Acceptable Use Policy
Our rules concerning the access and use of the Ascent Finance website, app, and other Ascent-related products.
This Acceptable Use Policy ('AUP') defines the standards of conduct that all users - both individuals and businesses - must observe when accessing and using the Ascent Finance Suite. Violation of this AUP may result in immediate suspension or termination of access and may be reported to relevant law enforcement or regulatory authorities.
1. Purpose and Scope
Ascent Tech Hub Africa Nig. Ltd. ('Ascent') provides the Ascent Finance Suite (the 'Platform') to enable individuals and businesses to manage their financial operations efficiently and lawfully. The integrity, security, and lawful operation of the Platform depend on all users adhering to standards of acceptable conduct.
This Acceptable Use Policy ('AUP') applies to all users of the Platform, including individual users, Business Users, merchants, developers, API users, and any person or entity accessing the Platform in any capacity (collectively, 'you' or 'User'). This AUP forms part of, and must be read alongside, the Business Terms of Use, the General Privacy Policy, the Business Privacy Policy, and any other applicable Ascent policy documents (together, the 'Agreement').
By accessing the Platform, you agree to comply with this AUP in its entirety. Ascent reserves the right to interpret, apply, and enforce this AUP in its sole reasonable discretion.
2. General Principles
All Users of the Platform are expected to conduct themselves in accordance with the following principles:
Legality: You must use the Platform only for purposes that are lawful under the laws of the Federal Republic of Nigeria and any other jurisdiction applicable to your activities.
Honesty: You must not misrepresent your identity, your business, your customers, or the nature of any transaction processed through the Platform.
Integrity: You must not use the Platform in any manner that undermines the security, reliability, or integrity of the Platform or harms other users.
Accountability: You are responsible for all activities conducted under your Account, including those of your employees, agents, and Sub-Users.
Respect: You must not use the Platform in any way that infringes the rights, privacy, or dignity of any third party.
3. Prohibited Financial Activities
3.1 Financial Crimes
Users must not use the Platform, directly or indirectly, to:
- Engage in money laundering, terrorist financing, proliferation financing, or any other financial crime as defined under the Money Laundering (Prevention and Prohibition) Act 2022, the Terrorism (Prevention and Prohibition) Act 2022, and the Proceeds of Crime (Recovery and Management) Act 2022.
- Transact with, on behalf of, or for the benefit of any person or entity appearing on: (i) the OFAC Specially Designated Nationals (SDN) list; (ii) the UN Security Council Consolidated Sanctions List; (iii) any Nigerian government sanctions list; or (iv) any other applicable sanctions list.
- Structure transactions to evade reporting obligations, including splitting payments below regulatory thresholds ('smurfing').
- Process transactions linked to illegal arms dealing, the trade of protected wildlife, or trafficking in human beings; or
- Operate or participate in any financial pyramid scheme, Ponzi scheme, or investment arrangement that violates Applicable Law.
3.2 Fraudulent Transactions
Users must not:
- Process transactions involving stolen, unauthorised, or fraudulently obtained payment credentials.
- Submit false, fabricated, or inflated invoices or transaction records.
- Use another person's identity, BVN, account details, or payment instrument without authorisation.
- Initiate or participate in chargeback fraud ('friendly fraud') or return fraud.
- Conduct wash trading, round-tripping, or any other scheme designed to artificially inflate transaction volumes or revenues; or
- Use the Platform to receive, hold, or transfer funds on behalf of a third party without the appropriate regulatory authorisation.
3.3 Unlicensed Financial Services
Users must not use the Platform to carry on any regulated financial activity for which they do not hold a valid licence or authorisation, including:
- Accepting deposits from the public without a CBN banking licence.
- Operating a payment service or switching service without a CBN Payment Service Provider licence.
- Operating a virtual assets exchange or wallet without a valid SEC VASP registration; or
- Providing insurance intermediation without NAICOM authorisation.
- Providing insurance intermediation without NAICOM authorisation.
4. Prohibited Business Categories
Users may not use the Platform to facilitate payments for, or in connection with, the following categories of business or activity:
4.1 Illegal or Regulated Goods and Services
- Sale, distribution, or facilitation of the trade in controlled or prohibited drugs and substances under the NDLEA Act.
- Sale of prescription medications without a valid pharmacy licence and NAFDAC authorisation.
- Unlicensed trade in firearms, ammunition, or military equipment.
- Sale of counterfeit, pirated, or intellectual property-infringing goods.
- Sale of illegally obtained wildlife or wildlife products.
- Distribution of child sexual abuse material (CSAM) or any content that sexually exploits minors.
4.2 Adult Content
- Adult entertainment platforms, including pornographic content distribution services.
- Escort services or platforms facilitating commercial sex work.
- Any service that facilitates sexual exploitation or trafficking.
4.3 Gambling and Betting
- Online gambling, sports betting, casino operations, or lottery services unless operated under a valid licence issued by the National Lottery Regulatory Commission (NLRC), Lagos State Lotteries and Gaming Authority (LSLGA), or other competent licensing authority.
- Unlicensed peer-to-peer betting exchanges or prediction markets.
4.4 Cryptocurrency and Digital Assets
- Operation of a virtual asset exchange, broker, or custodian service without a valid SEC VASP registration.
- Promotion of initial coin offerings (ICOs), token sales, or digital asset investment schemes without regulatory approval.
- Use of the Platform to circumvent CBN guidelines on virtual assets or cryptocurrency transactions.
4.5 Other Prohibited Categories
- Multi-level marketing (MLM) operations structured in violation of Applicable Law.
- Get-rich-quick schemes, high-yield investment programmes (HYIPs), or Ponzi structures.
- Collection of funds for politically exposed organisations or political campaigns without compliance with applicable campaign finance law.
- Debt collection services that violate FCCPA consumer protection provisions.
- Debt collection services that violate FCCPA consumer protection provisions.
- Any business Ascent determines, in its reasonable discretion, to pose an unacceptable legal, reputational, or compliance risk.
5. Prohibited Technical and Platform Conduct
5.1 Unauthorised Access and System Integrity
Users must not:
- Access the Platform or any part of its systems, networks, or infrastructure without authorisation.
- Attempt to gain unauthorised access to another user's Account, data, or resources.
- Exploit, probe, or test the security of the Platform or its supporting infrastructure without Ascent's prior written authorisation (i.e., outside of an agreed bug bounty programme).
- Bypass, disable, or circumvent any authentication, security, or access control mechanism on the Platform.
- Use stolen credentials, session hijacking, or brute-force attacks to access the Platform.
- Interfere with, disrupt, or degrade the performance, availability, or integrity of the Platform or its servers; or
- Launch or participate in any distributed denial-of-service (DDoS) attack or any other cyber attack against the Platform or its infrastructure.
5.2 Malicious Code and Software
Users must not transmit, upload, or introduce to the Platform any:
- Computer virus, worm, trojan horse, ransomware, spyware, or adware.
- Keystroke logger, rootkit, or other surveillance or data-exfiltration software.
- Any code or script designed to interfere with, corrupt, or destroy data, software, or hardware; or
- Any software designed to exploit vulnerabilities in Ascent's systems or those of other users.
5.3 Automated Access and Scraping
users must not:
- Use bots, spiders, crawlers, scrapers, or other automated tools to access, extract, or harvest data from the Platform, except through APIs provided by Ascent for that purpose.
- Conduct bulk or automated account creation.
- Engage in any activity that imposes an unreasonably large or disproportionate load on Ascent's infrastructure; or
- Use the Platform to train, fine-tune, or develop artificial intelligence or machine learning models without Ascent's prior written authorisation.
5.4 Reverse Engineering and Unauthorised Modification
users must not:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any component of the Platform.
- Copy, modify, adapt, translate, or create derivative works based on the Platform's software or content.
- Remove, alter, or obscure any copyright, trademark, or proprietary rights notice on the Platform; or
- Frame, mirror, or embed the Platform or any part of it on any other website or application without Ascent's written consent.
6. Prohibited Content and Communications
6.1 Unlawful and Harmful Content
Users must not upload, share, transmit, or display through the Platform any content that:
- Is false, misleading, defamatory, or constitutes fraud or misrepresentation.
- Is obscene, offensive, threatening, abusive, or constitutes harassment or hate speech targeting individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
- Infringes the copyright, trade mark, patent, trade secret, or other Intellectual Property rights of any third party.
- Constitutes unsolicited commercial communication (spam) or mass marketing without valid consent.
- Facilitates or encourages any illegal activity; or
- Violates the privacy, dignity, or data protection rights of any person.
6.2 Impersonation and Misrepresentation
users must not:
- Impersonate Ascent, its employees, officers, or representatives.
- Impersonate any other person, organisation, or regulatory body.
- Create a false or misleading impression of their identity, qualifications, or regulatory status; or
- Represent that Ascent endorses, approves of, or is affiliated with any product, service, or activity without Ascent's express written consent.
7. Responsible Disclosure and Security Reporting
Ascent encourages responsible disclosure of security vulnerabilities. If you discover a vulnerability in the Platform, please report it immediately and in confidence to [email protected]. Do not exploit, publicly disclose, or share vulnerability information before Ascent has had a reasonable opportunity to investigate and remediate.
Ascent will acknowledge receipt of responsible disclosure reports within 5 business days and will provide regular updates on remediation progress. Users who report genuine vulnerabilities in good faith and in accordance with this clause will not face enforcement action under this AUP.
8. Monitoring and Enforcement
8.1 Monitoring
Ascent reserves the right to monitor usage of the Platform to detect, investigate, and prevent violations of this AUP and Applicable Law. Monitoring may include review of transaction data, access logs, API call patterns, and content submitted to the Platform. Such monitoring is conducted in accordance with Ascent's Privacy Policies and Applicable Law.
8.2 Enforcement Actions
Where Ascent determines, in its reasonable discretion, that a User has violated or is likely to violate this AUP, Ascent may take any of the following actions, proportionate to the nature and severity of the violation:
- Issue a formal warning to the User.
- Temporarily suspend the User's Account or restrict access to specific Platform features.
- Place a hold on settlement or funds pending investigation.
- Permanently terminate the User's Account.
- Remove, disable, or flag any content or transaction that violates this AUP.
- Report the violation to relevant law enforcement or regulatory authorities, including the EFCC, NPF, CBN, NDPC, or FCCPC.
- Pursue civil or criminal remedies available under Applicable Law.
8.3 No Obligation to Monitor
Nothing in this AUP creates an obligation on Ascent to actively monitor the Platform or to detect every violation. Ascent shall not be liable to any User or third party for any failure to detect, prevent, or respond to any violation of this AUP.
8.4 Appeals
Users who believe their Account has been suspended or terminated in error may submit an appeal in writing to [email protected] within 14 days of the enforcement action. Ascent will review the appeal and provide a written response within 30 business days. The submission of an appeal does not automatically reinstate access.
9. User Reporting
Users who become aware of a violation of this AUP by another user or any suspicious, fraudulent, or unlawful activity on the Platform are encouraged to report it to Ascent at:

Ascent will investigate all reports in good faith and in accordance with its internal procedures. Ascent will maintain the confidentiality of the reporting User where reasonably practicable.
10. Liability for Violations
Users who violate this AUP shall be liable for all losses, damages, costs, penalties, regulatory fines, and legal expenses incurred by Ascent or any third party as a result of such violation. This includes liability for damages arising from cyber attacks, fraudulent transactions, and regulatory enforcement actions caused by the User's conduct. The indemnification provisions of the Business Terms of Use and General Terms apply to violations of this AUP.
11. Amendments
Ascent reserves the right to update this AUP at any time to reflect changes in Applicable Law, regulatory guidance, industry standards, or Ascent's business operations. Material changes will be communicated via the Platform or by email at least 14 days before taking effect. Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the updated AUP.
12. Governing Law
This AUP is governed by the laws of the Federal Republic of Nigeria. Any dispute arising from this AUP shall be subject to the dispute resolution provisions set out in the Business Terms of Use or, for individual users, the General Terms of Use.
